Carbon Credit Purchase Terms & Conditions
1. Introduction
1.1
These Terms & Conditions (“Terms”) govern the purchase of future carbon removal credits and related environmental products (“Credits”) offered by Planters International Berhad (“Planters”, “we”, “our”, or “us”).
1.2
By purchasing, reserving, or otherwise transacting in relation to Credits through our website or associated checkout infrastructure, the purchaser (“Buyer”, “you”, or “your”) agrees to be bound by these Terms.
1.3
These Terms apply to all transactions conducted through Planters’ direct purchase channels, including third-party payment and registry integrations.
2. Definitions
2.1 “Credits”
Refers to future delivery carbon removal or carbon sequestration credits generated through Planters’ environmental programmes and verified under applicable methodologies and registry standards.
2.2 “tCO₂e”
Refers to one (1) metric tonne of carbon dioxide equivalent.
2.3 “Registry”
Refers to any third-party carbon registry, verification platform, or associated infrastructure used in connection with the issuance, transfer, retirement, or management of Credits.
2.4 “Verification”
Refers to the monitoring, reporting, and independent validation process required before Credits may be issued.
3. Nature of Credits
3.1
Credits offered by Planters may be generated through:
engineered carbon removal pathways, including biochar production and biomass pyrolysis; and/or
nature-based ecosystem restoration activities, including mangrove, coastal, riparian, terrestrial forest, invasive biomass management, degraded forest restoration, and ecosystem rehabilitation programmes.
3.2
Each Credit represents the verified removal, reduction, or sequestration of one (1) tCO₂e, subject to the applicable methodology, registry requirements, and successful verification outcomes.
3.3
Credits sold by Planters represent environmental attributes only and do not convey ownership rights over land, facilities, ecosystems, or physical assets associated with the underlying projects.
4. Verification & Registry
4.1 Verification
Credits are subject to independent monitoring, reporting, and verification processes.
4.2 Registry Infrastructure
Where applicable, Credits may be issued, managed, transferred, or retired through third-party registries and verification platforms, including Isometric and associated registry infrastructure.
4.3 Methodologies
Credits are issued subject to the applicable methodology requirements, registry standards, and verification protocols relevant to the specific project pathway.
4.4 No Guaranteed Issuance
Planters does not guarantee issuance until all verification, registry, and operational requirements have been successfully completed.
5. Purchase & Payment
5.1 Pricing
All pricing displayed or communicated by Planters is indicative unless otherwise agreed in writing.
5.2 Payment
Payment must be made in full at the time of purchase unless otherwise agreed under a separate written arrangement.
5.3 Fees & Charges
Prices displayed may exclude applicable taxes, payment processing fees, transaction charges, or other statutory charges where applicable.
5.4 Transaction Review
Planters reserves the right to refuse, suspend, reject, or cancel transactions in the event of:
suspected fraud;
payment failure;
regulatory concerns;
sanctions-related risks; or
operational limitations affecting delivery.
6. Future Delivery & Issuance Timeline
6.1 Future Delivery
The Buyer acknowledges that Credits purchased through Planters represent future delivery carbon credits.
6.2 Target Issuance
Target issuance is expected within twelve (12) months from the date of purchase confirmation.
6.3 Maximum Delivery Period
Due to operational, environmental, verification, registry, or regulatory factors, delivery may take up to twenty-four (24) months.
6.4 Factors Affecting Delivery
Delivery timelines may be affected by factors including but not limited to:
production schedules;
verification timelines;
environmental conditions;
methodology updates;
registry processing;
force majeure events;
supply chain disruptions; and/or
regulatory changes.
6.5 Delivery Updates
Planters will make reasonable efforts to provide updates in the event of material delays affecting delivery timelines.
7. Non-Financial Instrument Disclaimer
7.1
Credits sold by Planters are environmental products only.
7.2
Credits do not constitute:
securities;
investment instruments;
financial products;
deposit products; or
guarantees of financial return.
7.3
No representation is made regarding future market value, resale value, liquidity, or investment performance.
8. Refunds & Cancellations
8.1 Buyer Cancellation
Buyers may request cancellation within forty-eight (48) hours of purchase, provided the Credits have not yet been issued, transferred, retired, or otherwise allocated.
8.2 Refund Review
Refund requests are subject to review and approval by Planters.
8.3 Planters Cancellation Rights
Planters reserves the right to cancel, reject, suspend, or reverse transactions where reasonably necessary for operational, legal, regulatory, verification, or compliance reasons.
8.4 Refund Limitation
Where approved, refunds shall generally be limited to the original purchase amount received by Planters.
9. Limitation of Liability
9.1
To the maximum extent permitted by applicable law, Planters shall not be liable for:
indirect losses;
consequential damages;
business interruption;
reputational damage;
loss of profits;
market-related losses; or
opportunity costs arising from the purchase, holding, retirement, or use of Credits.
9.2
Planters’ aggregate liability relating to any transaction shall not exceed the purchase amount paid for the specific Credits in question.
10. Force Majeure
10.1
Planters shall not be held liable for delays or failure to perform obligations arising from events beyond reasonable control.
10.2
Such events may include but are not limited to:
natural disasters;
extreme weather events;
floods;
fires;
pandemics;
civil unrest;
war;
labor disruptions;
supply chain interruptions; and/or
government or regulatory actions.
11. Intellectual Property
11.1
All content, branding, graphics, reports, data, and materials published by Planters remain the intellectual property of Planters unless otherwise stated.
11.2
No content may be reproduced, redistributed, modified, or commercially exploited without prior written consent from Planters.
12. Governing Law & Dispute Resolution
12.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of Malaysia.
12.2 Good Faith Resolution
The parties agree to first attempt to resolve disputes amicably through good faith discussions before initiating formal legal proceedings.
12.3 Jurisdiction
Any unresolved disputes shall be subject to the jurisdiction of the courts of Malaysia.
13. Changes to Terms
13.1
Planters reserves the right to update or modify these Terms at any time without prior notice.
13.2
Updated Terms shall take effect upon publication on the website.
