Supplier Code of Conduct
Purpose
Planters International Berhad ("Planters") is committed to working with suppliers, contractors, consultants, service providers, and business partners who share our commitment to integrity, responsible business practices, environmental stewardship, and ethical conduct.
This Supplier Code of Conduct establishes the minimum standards expected of all organisations and individuals providing goods or services to Planters.
Scope
This Code applies to all suppliers and business partners engaged by Planters, including but not limited to:
Suppliers
Contractors
Subcontractors
Consultants
Professional advisers
Service providers
Technology partners
Logistics providers
Research collaborators
Joint project partners where applicable
Suppliers are encouraged to communicate these principles throughout their own supply chains where relevant.
Compliance with Laws
Suppliers are expected to comply with all applicable laws, regulations, licences, permits, and contractual obligations within the jurisdictions in which they operate.
Compliance with legal requirements represents the minimum standard expected by Planters.
Business Integrity
Suppliers shall conduct business honestly, ethically, and fairly.
Suppliers must not engage in:
Fraud
Bribery
Corruption
Money laundering
False or misleading representations
Anti-competitive behaviour
Improper influence
Dishonest business practices
Business decisions should always be based on merit, transparency, and legitimate commercial considerations.
Anti-Bribery & Anti-Corruption
Suppliers must maintain appropriate measures to prevent bribery and corruption.
Suppliers must never offer, promise, authorise, request, or accept anything of value intended to improperly influence business decisions involving Planters or its stakeholders.
Facilitation payments are strongly discouraged and should only occur where required by law or necessary to protect personal safety.
Conflicts of Interest
Suppliers should avoid actual, potential, or perceived conflicts of interest.
Any circumstances that may compromise impartial decision-making or create an appearance of improper influence should be disclosed to Planters promptly.
Human Rights & Labour Standards
Planters expects suppliers to uphold fundamental human rights and maintain fair labour practices.
Suppliers should:
Respect the dignity of workers.
Prohibit forced or compulsory labour.
Prohibit child labour.
Provide fair working conditions.
Maintain workplaces free from discrimination and harassment.
Respect applicable labour laws.
Health & Safety
Suppliers are expected to provide safe and healthy working environments for their personnel.
Appropriate health and safety measures should be implemented to minimise workplace risks and comply with applicable legal requirements.
Environmental Responsibility
As an environmental company, Planters expects suppliers to minimise their environmental impacts wherever reasonably practicable.
Suppliers are encouraged to:
Comply with environmental laws.
Reduce pollution and waste.
Use resources responsibly.
Support sustainable practices.
Protect biodiversity where relevant.
Prevent environmental harm arising from their operations.
Scientific & Environmental Integrity
Where suppliers participate in environmental, biodiversity, restoration, monitoring, or research activities on behalf of Planters, they are expected to:
Report information honestly and accurately.
Maintain appropriate records.
Avoid falsifying environmental or scientific information.
Respect ecological sensitivity.
Conduct work responsibly and professionally.
Environmental claims should be evidence-based and capable of reasonable verification.
Confidentiality
Suppliers may have access to confidential information belonging to Planters or its clients.
Such information must only be used for authorised business purposes and must not be disclosed without appropriate permission unless required by law.
Confidentiality obligations continue after completion of the engagement.
Data Protection & Cybersecurity
Suppliers handling Company information should implement reasonable measures to protect information against unauthorised access, disclosure, alteration, or loss.
Suppliers are expected to notify Planters promptly if they become aware of any significant security incident affecting Company information.
Responsible Use of Technology
Where technology, software, artificial intelligence, drones, monitoring systems, or digital platforms are used in connection with Planters' projects, suppliers should ensure that such technologies are used responsibly, ethically, and in accordance with applicable legal requirements.
Reporting Concerns
Suppliers are encouraged to report suspected misconduct involving Planters or its representatives through the Company's designated reporting channels.
Reports made in good faith will be treated seriously and handled appropriately.
Monitoring & Compliance
Planters reserves the right, where appropriate, to:
Request additional information.
Seek clarification regarding compliance.
Review supplier performance.
Suspend engagements where significant concerns arise.
Terminate business relationships involving serious or repeated breaches of this Code.
Breaches
Failure to comply with this Supplier Code of Conduct may result in:
Corrective actions
Suspension of work
Removal from approved supplier status
Termination of contracts
Legal action where appropriate
Policy Governance
This Supplier Code of Conduct forms part of the Corporate Governance Framework of Planters International Berhad.
The Company reviews this Code periodically to ensure continued alignment with applicable laws, recognised governance practices, and evolving business requirements.
Planters reserves the right to amend or update this Code from time to time.

Acceptance
By accepting a purchase order, contract, consultancy agreement, service agreement, or other engagement with Planters International Berhad, suppliers acknowledge that they have read, understood, and agree to conduct business in a manner consistent with the principles set out in this Supplier Code of Conduct.
